End User License Agreement (EULA)

This End User License Agreement ("Agreement") is entered into between sanographix ("Seller") and the end user who purchases the Software ("End User").
Definitions
- In this Agreement, "Software" means Tokusetsu 5 (including related updates and documentation) provided by the Seller, and does not include websites or other output that the End User creates using the Software.
- "Service" means the distribution and update delivery of the Software, and any other related services operated directly by the Seller. It does not include third-party services that the End User chooses to use at their own discretion (including, but not limited to, deployment integrations with external platforms such as Cloudflare).
License
- The Seller grants the End User a non-exclusive license to the Software. The End User may use the Software for personal or commercial purposes.
- The End User may not resell, redistribute, or transfer the Software to any third party.
- This license is a perpetual license for use by the purchaser. The End User may install and use the Software on any device(s) they manage, with no limit on the number of devices. However, the End User may not allow anyone other than the purchaser to use the Software, or share their account or license with others.
Ownership
All copyrights and other intellectual property rights in the Software belong to the Seller or the rightful rights holder. This Agreement grants the End User a non-exclusive, non-transferable right to use the Software within the scope defined in this Agreement. Any third-party software incorporated into the Software is subject to that third party's own license terms.
Termination
If the End User breaches this Agreement and fails to remedy the breach within a reasonable period set by the Seller, the Seller may terminate this Agreement. This does not apply, however, where the nature of the violation (such as unlawful use, copyright infringement, or unauthorized redistribution) makes it inappropriate to allow a remedy period before termination. Upon termination, the End User must stop using the Software and delete it to the extent reasonably possible.
Disclaimer
The Seller is liable for damages caused by the Seller's willful misconduct or gross negligence. For damages caused by ordinary negligence, the Seller's liability is limited to direct and ordinary damages, up to the amount the End User paid for the Software. This limitation does not apply to any liability that cannot be legally disclaimed or limited.
System Requirements
- The Software is designed to run on specific operating systems and environments available at the time it is provided. Updates, end of support, or specification changes to the End User's OS or other related software may cause the Software to stop working correctly without prior notice. The Seller is not liable for any issues arising from this. This does not apply, however, to cases involving the Seller's willful misconduct or gross negligence, or to liability that cannot be legally disclaimed or limited.
- The OS and environment requirements needed to run the Software may change over time, as the underlying technology it is built on (including, but not limited to, frameworks, libraries, and runtime environments) is updated. This may cause the Software to stop working in a previously supported environment. The Seller is not liable for this, and does not guarantee continued operation in any specific environment. This does not apply, however, to cases involving the Seller's willful misconduct or gross negligence, or to liability that cannot be legally disclaimed or limited.
- Features that connect the Software to third-party services such as Cloudflare may stop working without notice due to changes in that third party's specifications or terms of service, or discontinuation of the service. The Seller is not liable for any issues arising from this. This does not apply, however, to cases involving the Seller's willful misconduct or gross negligence, or to liability that cannot be legally disclaimed or limited.
Changes to the Service
The Seller may suspend or modify the Service for maintenance, security, legal compliance, or other unavoidable reasons. If the Service is permanently discontinued, the Seller will provide advance notice whenever possible. Refunds or other remedies in the event that continued use becomes unavailable will be determined separately, depending on the type of purchase and length of use.
Changes to this Agreement
The Seller may modify this Agreement as it deems necessary. For material changes, the Seller will give advance notice of the change and its effective date, by posting on the Seller's website or through other appropriate means. The updated Agreement applies to use of the Software from the effective date onward. However, this will not apply retroactively to change, to the End User's disadvantage, any usage rights already granted under an agreement in effect at the time.
Governing Law
- This Agreement is governed by the laws of Japan.
- If any provision of this Agreement is found to be invalid, in whole or in part, the remaining provisions will remain in effect.
Jurisdiction
Any dispute relating to this Agreement is subject to the jurisdiction of the courts as permitted by law.
